I. Basic Provisions

1.1 These General Terms and Conditions (hereinafter referred to as the „Terms and Conditions“) are issued pursuant to Section 1751 et seq. of Act No. 89/2012 Sb., the Civil Code (hereinafter referred to as the „Civil Code“) by ForClassmates Finance s.r.o., with its registered office at Evropská 516/10, Dejvice, 160 00 Prague 6, Comp. Reg. No.: 10852531, entered in the Commercial Register by the Metropolitan Court in Prague, File No. C 349541, email: info@forclassmates.io, phone: +420 723 276 129, web: https://www.forclassmates.io (hereinafter referred to as the „Website“) (hereinafter referred to as the „Company“).

1.2 These Terms and Conditions govern the mutual rights and obligations of the Company and a natural person or a legal entity that enters into a silent partnership investment agreement with the Company (hereinafter referred to as the „Silent Partner“).

1.3 The provisions of the Terms and Conditions are an integral part of the silent partnership investment agreement. Any different provisions in the silent partnership investment agreement (hereinafter referred to as the „Agreement“) take precedence over the provisions of these Terms and Conditions.

1.4 These Terms and Conditions and the Agreement are entered into in Czech or English.

II. User Account

2.1 Upon the Silent Partner’s registration in the Company’s online system on the Website at app.forclassmates.io (hereinafter referred to as the „Online System“) the Silent Partner may access its user (customer) account (hereinafter referred to as „User Account“).

2.2 For proper registration of the User Account, the Silent Partner is obliged:
a) a) To properly fill in the electronic form with the personal data below and send it to the Company;
b) b) To verify the correctness of the entered email – the Company will send an automatic email to the specified email with a link through which the User Account is activated;
c) c) To properly identify oneself through the Veriff.com service (www.veriff.com);
(hereinafter referred to as the „Registration“).

2.3 After completing the Registration through its User Account, the Silent Partner is entitled:
• To enter into the Agreement. The Silent Partner may also enter into the Agreement without registration of the User Account, though exclusively by signing in hand the Agreement or through the portal www.signi.com;
• To change their personal data;
• To change the password;
• To delete their account;
• To log out of the User Account;
• To display any accessible information on the Company’s activities;
• To display information about their investment.

2.4 When registering in the User Account and entering into the Agreement, the Silent Partner is obliged to state all data correctly and truly. The Silent Partner is required to immediately update any data specified in the User Account in the event of any change. The Company considers any data provided by the Silent Partner in the User Account to be correct.

2.5 The Silent Partner, if a natural person, is required to state or, where applicable, provide the following personal information:
• Name and surname;
• Date of birth;
• Permanent address;
• Contact telephone number;
• Contact email address;
• The international bank account number of the Silent Partner, the so-called IBAN (International Bank Account Number);
• The international identification code of the Silent Partner’s bank, the so-called SWIFT/BIC;
• An indication of whether the Agreement has been entered into and the Silent Partner’s Deposit has been paid within the Silent Partner’s business activities.

2.6 The Silent Partner, if a legal entity, is obliged to state or, where applicable, provide the following personal information:
• Business name;
• Comp. Reg. No;
• Registered office;
• Name and surname of the representative;
• Relationship of the representative to the legal entity;
• Date of birth of the representative;
• Permanent address of the representative;
• Contact telephone number;
• Contact email address;
• The international bank account number of the Silent Partner, the so-called IBAN (International Bank Account Number);
• The international identification code of the Silent Partner’s bank, the so-called SWIFT/BIC.

2.7 Access to the User Account is secured by a user name and password. The Silent Partner is obliged to maintain the confidentiality of the information necessary to access their User Account. The Company is not responsible for any misuse of the User Account by third parties.

2.8 The Silent Partner is not entitled to allow any third parties to use the User Account.

2.9 The condition for the User Account Registration is the successful identification of the Silent Partner via the Veriff.com service (www.veriff.com) (hereinafter referred to as the „Identification“). If the Identification is not successful or is rejected, the Company reserves the right not to enter into the Agreement and not to register the User Account.

2.10 The fact whether the Identification has been successful or not will be communicated to the Silent Partner by the contact email. The email will contain a message about the result of the Identification, including a statement of the reason why the Identification was not successful.

2.11 The Company and the Silent Partner are entitled to unilaterally cancel the User Account if the Silent Partner does not use their User Account and, at the same time, if the Agreement has been terminated, or if the Identification has not been successful. Neither the Company nor the Silent Partner is entitled to cancel the User Account if the Agreement is active.

2.12 The Silent Partner acknowledges that the User Account may not be available at all times, including without limitation with regard to any necessary maintenance of the Company’s hardware and software, or any necessary maintenance of third parties’ hardware and software.

III. Determination of the Deposit Amount and Payment

3.1 The minimum Deposit amount is USD 4,550 or the equivalent in EUR or CZK.

3.2 The Silent Partner will determine the amount of the Deposit by entering its value in the appropriate field in the Online Portal and will transfer it to the Company within the time limit specified in the Agreement.

3.3 The Silent Partner is entitled to make the payment of the Deposit in the following ways:
• By bank transfer;
• By virtual asset;
• By card online.

3.4 Depending on the choice of the payment method, the Company will send the data for making the Deposit to the Silent Partner’s email.

IV. Entering into the Agreement

4.1 The Agreement is entered into when it is signed by both parties or – if it is entered into in electronic form via the portal www.signi.com, or through the Online System, as soon as the Silent Partner actively checks the button in the Company’s Online System which is designed for entering into such an Agreement. This act expresses the will of the Silent Partner to enter into this Agreement with the Company. The Agreement will be entered into on the portal www.signi.com on the day it is signed by both Parties.

4.2 All actions of the Silent Partner leading to the entering into the Agreement are legally binding.

4.3 If there is any obvious technical errors on the part of the Company in providing any information on the Company’s website or during Registration, the Company is not obliged to act or to take any other action in relation to the Silent Partner with respect to such obliviously wrong information even if an automatic confirmation has been sent to the Silent Partner under these Terms and Conditions.

V. Out-of-court Dispute Resolution

5.1 The Czech Trade Inspection Authority with its registered office at Štěpánská 567/15, 120 00 Prague 2, Comp. Reg. No.: 000 20 869, website: https://adr.coi.cz/cs, is the authority for out-of-court settlements of consumer disputes under the Agreement.

5.2 Supervision of the compliance with the obligations arising from Act No. No. 634/1992 Sb., on Consumer Protection, as amended, is carried out by the Czech Trade Inspection Authority, with its registered office at Štěpánská 15, 120 00 Prague 2 – Nové Město, email: podatelna@coi.cz, web: www.coi.cz. The Silent Partner may approach this authority and submit any complaints that may arise from the Agreement.

These Terms and Conditions come into effect on 21 June 2021
