What is the minimum amount I can invest?
The minimum investment amount is set at USD 4,550 (or equivalent in another currency) corresponding to 0.0025% of the share in the distributed profit of ForClassmates Finance s.r.o.
What does distributed profit mean?
The distributed profit is equal to 90% of the total profit of ForClassmates Finance s.r.o. The remaining 10% belongs to ForClassmates s.r.o.
Is this project subject to the supervision of the Czech National Bank?
“Silent partnership is one of the contractual obligations. The material scope of Act No. 240/2013 Coll., on Management Companies and Investment Funds, as amended (hereinafter referred to as “MCIFA”), does not apply to the proposed business model and contractual relationships, as it is an activity consisting in raising funds for the purpose of financing of business activities of a non-financial nature, thus fulfilling the conditions of the so-called development exemption pursuant to the provisions of Section 2 of the MCIFA and also the activity in question – the offer of the Silent Partnership Contract – is not considered a public offer pursuant to Section 34 et seq. of Act No. 256/2004 Coll., on Capital Market Business (hereinafter referred to as the “CMBA”) and is not an investment instrument in the sense of the provisions of Section 3 of the CMBA. With regard to the above, the described activities of the company are not subject to the CNB's supervision.”
What is the intended value of ForClassmates s.r.o.?
The intended value of ForClassmates s.r.o. is set at USD 628M by the end of 2028. The calculation of the company's value is based not only on the value of intangible assets, but we also use the internationally recognised EBITDA indicator multiplied by the attractiveness multiplier and the competition coefficient. A more detailed description of the calculation of the company's value is described in the whitepaper.
What is the purpose of ForClassmates Finance s.r.o.?
ForClassmates Finance s.r.o. serves as legal certainty of the fact that investors through the silent partnership will also benefit from a possible future sale of ForClassmates Finance s.r.o. If a silent partner had invested directly in ForClassmates s.r.o., then it would not be legally possible to pay him/her a dividend from the possible sale of ForClassmates s.r.o. but only a dividend from ForClassmates s.r.o. in normal operation during the year. Due to this model, the silent partner will earn a dividend and at the same time a dividend from the eventual sale of ForClassmates s.r.o.
Will I be able to supervise my investment?
A silent partner oversees his/her investment through our private investor platform, where he/she will see the progress of the development plan, significant business activities, current value of the company, information from the CEO and management, accounting documents and news at ForClassmates Finance s.r.o. and ForClassmates s.r.o. A silent partner will also be able to communicate directly with the company's management via the investor's internal platform.
